Oracle shares fell Monday, November 2, after the enterprise software and cloud provider disclosed plans to raise $20 billion from bond and stock investors to support its growing investment in artificial intelligence and data-center capacity.

Reuters reported that Oracle stock declined nearly 6% earlier in the session, adding to a substantial loss for the year. The sell-off took place as investors increasingly questioned the pace of debt-financed spending by technology companies and whether they will collect enough cash from AI customers to justify their expansion plans.

The offering described in regulatory filings includes bonds across six tranches with maturities running from 2029 to 2046. Final bond pricing, interest rates and the number of shares to be issued had not been set at the time of the announcement.

Oracle said money raised could be used for general corporate purposes, including construction and equipment costs, debt repayment, acquisitions, dividends and share repurchases. Although the fundraising is closely associated with its AI infrastructure expansion, the stated uses are broader than a single data-center project.

The company had approximately $125.34 billion in notes payable and other borrowings as of August 31, according to Reuters. That large debt load is a point of attention because new financing adds costs and may dilute existing shareholders if more stock is issued.

Oracle has outlined an ambitious long-range business plan, seeking more than $225 billion in annual revenue by fiscal 2030. Executives said capital spending should peak during this fiscal year and the next, with free cash flow expected to become positive in the second half of fiscal 2028.

The company competes in cloud infrastructure with Amazon, Microsoft and other large technology groups, while its AI business is closely associated with rapidly expanding compute demand.

Monday's market reaction does not determine whether Oracle's investment strategy will succeed. The central questions for investors are the cost of financing, the timing of future cash flows and whether customers sustain the high level of demand anticipated in management's forecasts.
