Wendy’s rejected an unsolicited proposal from a group led by Trian Fund Management that valued the fast-food chain at about $1.4 billion, saying the offer substantially undervalued the company.

The proposal would have paid $7.35 in cash for each Wendy’s share not already owned by Trian and its partners, which include Flynn Group, BlueFive Capital and Sixth Street Partners. A committee of independent Wendy’s directors unanimously rejected the nonbinding offer after reviewing it with financial and legal advisers.

The committee said Wendy’s should remain independent while management carries out a turnaround plan called “Dave’s Way.” That strategy focuses on menu value, marketing, restaurant operations, digital engagement and franchise profitability. The company’s confidence in the plan is a projection, not a guarantee of future results.

Wendy’s also adopted a one-year shareholder-rights plan that expires Nov. 3, 2027. The measure, commonly called a poison pill, is designed to make it more difficult for an investor group to gain additional control without board approval.

Under the plan, rights generally become exercisable if a person or group reaches 15% ownership, or if an investor already above that level acquires additional shares without approval. Wendy’s said the plan applies to all shareholders and does not prevent its board from considering an offer it deems fair.

Reuters reported that Trian and related parties hold about 16.3% of Wendy’s shares. Trian declined to comment to Reuters on the rejection.

The decision is a substantive development from Oct. 28, when Wendy’s confirmed receiving the proposal and said its independent committee would evaluate it. Thursday’s announcement ends that review without a deal, while leaving the company’s strategic plan and leadership responsible for improving results as a public company.

Wendy’s said more details about its turnaround plan would be discussed during its third-quarter earnings call Thursday morning.
