Knox Community Hospital and Kettering Health announced October 30 that they signed a definitive agreement for the Mount Vernon, Ohio, hospital to join the nonprofit health system. The hospital’s own timeline dates the signing to October 28.
The transaction has not closed. The organizations said they expect Knox to join Kettering Health by January 1, 2027, subject to customary closing conditions and required legal and regulatory reviews.
The agreement follows a nonbinding letter of intent signed in July. It establishes the formal terms of the proposed combination, while the organizations move into permitted transition planning.
Knox says both organizations will continue making separate, independent business decisions until closing conditions are satisfied. The hospital remains open and operating as usual.
Kettering Health has committed capital investment for facilities, equipment and technology, including the Epic electronic health-records system. The October 30 announcement did not disclose a dollar value for that investment.
The organizations also described commitments to maintain current Knox services and support workforce stability during the transition. Enhancing and expanding care is a shared goal rather than a completed service expansion.
A hospital advisory board drawn from current board members would provide input on community priorities. Knox said its charity-care and financial-assistance policies would remain consistent with those currently in place.
Knox is a 99-bed community hospital about 40 miles northeast of Columbus. Kettering Health’s announcement describes a system with 14 medical centers and more than 100 outpatient locations in western Ohio.
